AGREEMENT

This Agreement is made this day of , 20 ___ by and between UNIC AVIATION LTD., a China local corporation, hereinafter referred to as the “UNIC” or “the Company,” and _____________________________________(hereinafter referred to as “CONTRACTOR or PILOT”).

RECITALS

WHEREAS, UNIC is a company specializing in supplying pilots and flight deck crews, training, operational support and general aviation consultancy to airlines worldwide; and

WHEREAS, UNIC entered into an agreement with HAINAN AIRLINES COMPANY LIMITED, (hereinafter referred to as “HNA”), a Chinese corporation, to assign pilots and flight deck crews (hereinafter referred to as “Flight Crews”); and

WHEREAS, CONTRACTOR is a commercial aircraft pilot; and

WHEREAS, CONTRACTOR desires to provide flight services to airlines designated by UNIC and

WHEREAS, UNIC acknowledges that CONTRACTOR is qualified to fly aircraft operated by HNA; and

WHEREAS, UNIC agrees to contract the CONTRACTOR pursuant to the terms and conditions contained herein, in the capacity of providing flight services to HNA; and

WHEREAS, CONTRACTOR hereby desires providing flight services to HNA and accepts such conditions; and

WHEREAS, neither CONTRACTOR nor UNIC desires to enter into an employment relationship;

NOW THEREFORE, IT IS AGREED AS FOLLOWS:
